Refund & Cancellation Policy

This Refund and Cancellation Policy applies to professional consulting services and proprietary products offered by Variad Corporation (“Company,” “we,” “us,” or “our”). By entering into a consulting engagement or purchasing a product or subscription from us, you agree to the terms outlined herein.

1. Written Agreements Govern

Where a written Statement of Work, Master Services Agreement, or other executed consulting agreement exists between Variad Corporation and the client, the terms of that agreement supersede and control over any conflicting terms in this Policy. This Policy applies only to the extent not otherwise addressed by a signed engagement agreement.

2. Product-Specific Terms

Variad may offer proprietary software products, platforms, or subscriptions through its venture lab. Where a product has its own Terms and Conditions, those terms govern the refund, cancellation, and credit policy for that product and supersede the consulting-focused provisions of this Policy. Product-specific terms will be presented at the time of purchase or subscription and made available within the product itself.

In the absence of product-specific terms, or for any aspect not addressed by them, this Policy applies. Where a product-specific term conflicts with this Policy, the product-specific term controls.

3. Nature of Consulting Services

Variad provides professional consulting services — including technical due diligence, software architecture consulting, and related advisory work — on a project or retainer basis. The nature of these services is inherently time-and-expertise-based. Work performed by our principals cannot be undelivered once completed.

4. Payment Terms

Payment terms for each engagement are specified in the applicable Statement of Work or consulting agreement. Standard terms include:

• Fixed-Fee Engagements: Typically invoiced in two installments — 50% upon engagement commencement and 50% upon delivery of final deliverables.
• Retainer Arrangements: Invoiced monthly in advance.
• Time-and-Materials Engagements: Invoiced at the end of each billing period based on work performed.

5. Non-Refundability of Rendered Services

All consulting services are non-refundable once rendered. Work that has been performed — including research, analysis, documentation, meetings, advisory sessions, and deliverable preparation — represents an irreversible investment of professional expertise and time and is not subject to refund.

6. Cancellation by Client

Clients may cancel an engagement by providing written notice to info@variad.com. The following terms apply upon cancellation:

• Fixed-Fee Engagements: If cancelled before commencement, any retainer or deposit paid will be refunded in full. If cancelled after commencement, the client is responsible for payment of all work completed to the date of cancellation, prorated against the agreed fixed fee.
• Retainer Arrangements: May be cancelled with 30 days’ written notice. Fees for the notice period are non-refundable. Any unused prepaid retainer time beyond the notice period will be refunded.
• Time-and-Materials Engagements: May be cancelled at any time. All work completed through the cancellation date will be invoiced and is due upon receipt.

7. Cancellation by Variad

We reserve the right to cancel or suspend an engagement in cases of non-payment, material breach of the engagement agreement, or circumstances outside our reasonable control. In such cases, we will provide written notice and invoice for all work completed to date. If we terminate an engagement without cause, we will refund any prepaid amounts attributable to work not yet performed.

8. Billing Disputes

If you believe you have been charged in error or have a concern about an invoice, please contact us at info@variad.com within 15 days of the invoice date. We are committed to resolving billing disputes promptly and in good faith.

9. Chargebacks

Initiating a payment chargeback for services that have been rendered constitutes a material breach of this policy and the applicable engagement agreement. We reserve the right to pursue recovery of all amounts owed, including any chargeback fees or collection costs incurred.
